We are LaunchDS LLC ("Company," "we," "us," or "our"), a limited liability company registered in the State of New York, United States, with a mailing address at 54 Colony Route 16, Lake Clear, NY 12945, USA.

We operate the website https://launchds.tech (the "Site"), as well as any other related products, software, services, or applications that refer or link to these Legal Terms (collectively, the "Services").

If you do not agree, you are expressly prohibited from using the Services and must discontinue use immediately.

1. Our Services

LaunchDS LLC provides an AI-powered SaaS platform that helps dropshippers identify, analyze, and manage high-demand, high-return products.

The Services are not intended for distribution or use in jurisdictions where such activity would be contrary to law or regulation. Users accessing the Services from outside the United States do so at their own risk and are solely responsible for compliance with local laws.

Our Services are not designed for use under industry-specific compliance laws (e.g., HIPAA, FISMA, GLBA). Do not use the Services if such laws apply to your business or data.

2. Intellectual Property Rights

Our Content

We are the owner or licensee of all intellectual property rights in our Services, including but not limited to: source code, software, databases, designs, audio, video, text, photographs, and graphics (collectively, "Content"), as well as all trademarks, service marks, and logos ("Marks"). All Content and Marks are protected under U.S. and international copyright and trademark law.

You are granted a non-exclusive, non-transferable, revocable license to access and use the Services and to download or print portions of Content solely for your personal or internal business use.

No Content or Marks may be reproduced, distributed, displayed, or otherwise exploited for any commercial purpose without our prior written consent.

Any violation of these Intellectual Property provisions terminates your right to use the Services immediately.

Your Submissions

By sending us any feedback, ideas, or suggestions ("Submissions"), you agree to assign to us all rights in such Submissions, and you acknowledge that LaunchDS LLC may use them freely without compensation.

You also represent that your Submissions:

• are original to you or lawfully licensed,
• do not infringe third-party rights,
• are not confidential, and
• comply with all applicable laws and our "Prohibited Activities" section.

3. User Representations

By using the Services, you represent and warrant that:

• All registration information is accurate, current, and complete.
• You will maintain and promptly update such information as needed.
• You have the legal capacity and agree to comply with these Terms.
• You are at least 16 years old.
• You will not access the Services using automated or non-human means.
• You will not use the Services for any unlawful purpose.
• Your use will not violate any applicable laws or regulations.

Violation of any of the above may result in termination of your account.

4. User Registration

You may be required to create an account. You are responsible for keeping your password confidential and accept full responsibility for all activities under your account.

We reserve the right to suspend, reclaim, or remove any username deemed inappropriate or misleading.

5. Purchases and Payment

Accepted payment methods include Visa, Mastercard, American Express, Discover, and Maestro.

You agree to provide accurate and complete billing and payment information and authorize LaunchDS LLC to charge your selected payment method for all fees incurred.

All payments are in U.S. Dollars (USD). Sales tax will be applied where applicable.

We reserve the right to correct pricing errors and to refuse or cancel any order at our discretion, including suspected fraudulent or reseller activity.

6. Free Trial

We offer a 7-day free trial to new users with limited AI credits. At the end of the trial, your selected subscription will automatically activate unless canceled before expiration.

7. Cancellation & Refunds

You may cancel your subscription anytime via your account settings; cancellation will take effect at the end of the current billing cycle.

Refund Eligibility: Refunds are available within 14 days of purchase. Credits or jobs already used are non-refundable. No refunds apply once a new billing cycle begins.

To request a refund, email billing@launchds.tech with your account email and invoice number. Approved refunds are processed within 7–10 business days.

8. Prohibited Activities

You may not:

• Use the Services for any unlawful purpose or to harm others.
• Interfere with or disable any security or system function.
• Scrape, mine, or extract data without permission.
• Impersonate another person or entity.
• Upload malware or spam content.
• Reverse engineer or copy our software.
• Use automated systems (bots, scripts, scrapers) without authorization.
• Use the Services for competitive or unauthorized commercial purposes.

Violation may result in immediate suspension and legal action.

9. User Generated Contributions

The Services may allow you to submit content (e.g., text, comments, or media). You represent that all such contributions:

• Are lawful and original;
• Do not violate intellectual property or privacy rights;
• Do not contain false, defamatory, or obscene material.

LaunchDS LLC is not responsible for user-generated content and may remove or disable it at any time.

10. Contribution License

You retain full ownership of your content but grant us a worldwide, royalty-free license to use, host, and display it as necessary for the operation of the Services.

11. Social Media

You may connect LaunchDS accounts with third-party platforms. You grant us permission to access data consistent with your account settings on those platforms.

We are not responsible for the accuracy or behavior of any third-party service you link.

12. Third-Party Websites and Content

The Services may include links to third-party sites or content. LaunchDS LLC does not endorse and is not responsible for third-party websites, content, or purchases made through them.

13. Services Management

We may monitor usage, restrict access, remove content, or take legal action to protect our rights and ensure the integrity of the Services.

14. Privacy Policy

Your data privacy is important to us. Please review our Privacy Policy. By using our Services, you consent to our data practices and to U.S. data storage and processing.

15. Term and Termination

These Terms remain in effect as long as you use the Services. We reserve the right to suspend or terminate access without notice if you violate any provision.

We may modify, suspend, or discontinue any part of the Services at any time without notice. We are not liable for downtime, maintenance, or unavailability.

17. Governing Law

These Terms of Service are governed by the laws of the State of New York, United States, without regard to conflict-of-law principles.

18. Dispute Resolution

All disputes arising under these Terms shall be resolved through binding arbitration in New York County, NY, under the rules of the American Arbitration Association. You consent to the jurisdiction of such arbitration.

19. Corrections

We may correct any errors or inaccuracies in the Services or documentation at any time without notice.

20. Disclaimer

The Services are provided "AS IS" and "AS AVAILABLE."We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose. We make no representation regarding uninterrupted, error-free operation or the accuracy of any data provided.

21. Limitations of Liability

To the fullest extent permitted by law, LaunchDS LLC is not liable for indirect, incidental, or consequential damages, including lost profits, data, or business interruption, arising out of your use of the Services.

Total liability shall not exceed the total fees paid by the user in the preceding 12 months.

22. Indemnification & AI Liability

You agree to defend, indemnify, and hold harmless LaunchDS LLC and its affiliates from any claims or damages arising out of your use of the Services, violation of these Terms, or infringement of third-party rights.

AI-Generated Content: AI-generated content is produced automatically based on user input. LaunchDS makes no guarantees regarding accuracy, legality, or suitability. Users are solely responsible for ensuring that outputs comply with applicable laws, including copyright, advertising, and regulatory standards.

23. User Data

We perform regular data backups but do not guarantee that no data loss will occur. You are solely responsible for maintaining your own data backups.

24. Electronic Communications, Transactions, and Signatures

You consent to receive communications electronically and agree that digital signatures and agreements satisfy all legal writing requirements.

26. Miscellaneous

These Terms constitute the entire agreement between you and LaunchDS LLC. No waiver of any provision shall be deemed a waiver of any other. If any provision is held invalid, the remaining Terms remain enforceable.
